Annexure "B"

Conditions Precedent To Pilot Phase which must be satisfied to YELP  SPV's satisfaction prior to paying $1,500 Muggaccinos Team Jersey Contribution to Project Developer

1.         YELP  SPV to sign-off the Approved Appearance, in particular the Sanctioned Green Theme Slogans, to appear across the centre of the back of the Join a Green Team Team Jersey in accord with the final agreed form of the Project Developer's   (to be agreed during Prototype Phase). 

2.         Project Developer -

(a)       purchases from one of up to 8 Interested Australian Bicycle Jersey Makers at the Agreed Prices For Long And Short Sleeve 75 Join a Green Team Team Jersey which display Muggaccinos.com as the Team Name; and

(b)       provides Department of Health and Ageing and/or Environment, Heritage and the Arts or Dept of Climate Change a copy of the invoice and receipt for payment for the Purchase Order. 

3.         At least 50 Muggaccinos.com Recreational Road Cyclists would wear Join a Green Team Team Jersey for a Photo Shoot on the Agreed Saturday during the Pilot Phase for an Media Advertising Campaign to invite >100 Community Bicycle Groups across Australia that presently do not have a dedicated Team Jersey to order Join a Green Team Team Jerseys with their Community Bicycle Group's Team Name appearing instead of Muggaccinos.com in the Approved Appearance.

4.         Project Developer provides a written receipt for $1,500 for Muggaccinos Team Jersey Contribution contemporaneous with receiving Environment, Heritage and the Arts or Dept of Climate Change's cheque or electronic remittance for $1,500.

5.         Project Developer provides a letter to Department of Health and Ageing and/or Environment, Heritage and the Arts or Dept of Climate Change which attests that Muggaccinos.com Recreational Road Cyclists will wear 75 Join a Green Team Team Jerseys on each 100km (ave) Sunday ride and each mid-week ride until they wear out [ie minimum of 4 years].
