Annexure "D"

Conditions Precedent To Jersey Distribution Fee means the Project Developer during the Propagation Phase providing to YELP  SPV evidence from Interested Australian Bicycle Jersey Garment Maker of Purchase Orders from Community Bicycle Groups before YELP  SPV pays the Jersey Distribution Fee annually in arrears to the Project Developer.

Such evidence will also list the -

(a)         Team Name,

(b)         date of Purchase Order,

(c)         Interested Australian Bicycle Jersey Garment Maker; and

(d)        quantity of Join a Green Team Team Jerseys.
