Sole Sponsor means if the Equity Holders agree to the rights and obligations bestowed on them in the Information Memorandum and , then the YELP SPV would inter alia -

(i)         be the Sole Sponsor of the Annual King of the Mountain Challenge Series whereupon "Youthful Exuberance Lifestyle Programme" and the Approved Logos would exclusively appear on the Four Types of King of the Mountain Challenge Series Bicycle Jersey; and

(ii)        pay the One-Off Inaugural KOM Challenge Series Success Fee to the Event Team upon it successfully delivering -

(a)        the Inaugural Annual KOM Series; and

(b)        each subsequent Annual KOM Challenge Series in NSW and each other state and Canberra, until a Bicycle Organisation in the associated state takes up a KOM Challenge Series Franchise, whereupon the YELP  SPV would pay the Event Team Fee to the Bicycle Organisation which held the KOM Challenge Series Franchise for their state.
