KOM Challenge Series Event Fee means:

(a)        Costs to run each Annual KOM Challenge Series set out in the Financial Model summarised in worksheet "Schedule 2 - Aust '12, '13 '14" at cells B127..C129.

(b)        The Event Team KOM Challenge Series Fee paid to the Event Team upon successfully conducting each Annual KOM Challenge Series.

             Upon the YELP  SPV appointing a Bicycle Organisation in each other state and ACT as an Annual KOM Challenge Series Franchise Holder, the YELP  SPV will then pay the appointed Bicycle Organisation a Bicycle Organisation KOM Franchise Fee for delivering the Annual KOM Challenge Series in their state, in lieu of paying the Event Team the Event Team KOM Challenge Series Fee - explained in Section 13B(f).
