All KOM Challenge Series Fees & Costs means the following fees paid by the YELP  SPV:

1.          One-Off Inaugural KOM Challenge Series Success Fee of $50,000 payable to the Event Team upon the Event Team -
(i)          building the systems and procedures, as prescribed in the Information Memorandum, and

            (ii)         successfully delivering the Inaugural KOM Challenge Series, as noted in Section 18.

2.          KOM Challenge Series Fee

The cost to rollout the Annual KOM Challenge Series to 6 other Australian capital cities may reduce beyond the forecast costs in the Financial Model summarised in worksheet "Schedule 2 - Aust '12, '13 '14" at cells B127..C129, as the YELP  SPV appoints interstate Bicycle Organisations as a Annual KOM Challenge Series Franchise Holder  - explained in Section 13B(f).
