Financial Close means the time when all conditions precedent to the effectiveness of the Project Documents and associated Financing Documents have been satisfied and the Project Documents, often including a Design and Construction Agreement and all Financing Documents and other agreements related to the Project, are executed by the Borrowers, Lenders and the Joint Venture SPV.
